Terms of Service — SpinexCloud

These Terms of Service ("Terms") form a legally binding agreement between you ("User", "Customer", "Client") and SpinexCloud ("Company", "we", "our", "us"). These Terms govern your access to and use of our website (https://spinex.cloud), billing panel, APIs, servers, infrastructure, and all related services.

By registering, purchasing, or using our services, you agree to these Terms, our Privacy Policy, Acceptable Use Policy (AUP), and Refund Policy.

If you do not agree, you must discontinue use immediately.

1. Eligibility

  1. You must be at least 14 years old or the legal age in your jurisdiction.
  2. If acting on behalf of a business, you confirm you have authority to bind that entity.
  3. We may request identity verification at any time.
  4. Services may not be used in restricted jurisdictions.

2. Account Registration

  1. You must provide accurate, complete, and current information.
  2. False identities or misleading details are prohibited.
  3. Multiple accounts created to bypass limits may be terminated.
  4. We reserve the right to suspend accounts pending verification.
  5. You are responsible for maintaining account security.

3. Services Provided

  1. spinexcloud provides free hosting, shared hosting, game hosting, VPS hosting, dedicated IP services, and add-ons.
  2. All services are provided on an 'as-is' and 'as-available' basis.

4. Free Hosting Terms

  1. Free hosting is provided at our discretion.
  2. No uptime or backup guarantee applies.
  3. Resources may be limited or modified at any time.
  4. Accounts may be removed for inactivity.
  5. Advertisements or branding may be displayed.
  6. Strictly prohibited: crypto mining, file storage abuse, proxy/VPN services, pirated software, adult content, high CPU scripts, automated bots.
  7. Accounts may be suspended without notice.

6. VPS & Root Access

  1. You are solely responsible for server security.
  2. You must maintain firewall and system updates.
  3. Misconfigured servers causing abuse may be suspended.
  4. We do not provide system administration unless purchased separately.

7. Payments & Billing

  1. All services are prepaid.
  2. Invoices must be paid before the due date.
  3. Unpaid invoices may result in suspension.
  4. Suspended services may incur reactivation fees.
  5. Taxes (including GST) may apply.
  6. Chargebacks result in immediate suspension and possible termination.

8. User Billing Responsibility

  1. You are responsible for managing your account, renewals, invoices, and balance.
  2. You must regularly check active services, renewals, invoices, and account balance.
  3. spinexcloud is not liable for suspension or data loss due to missed payments.
  4. You must maintain sufficient balance to avoid interruptions.
  5. Failure to receive email notifications does not excuse missed payments.
  6. We are not responsible for third-party account management.
  7. Data may be permanently deleted after non-payment.

9. Refund Policy

  1. Refund requests must be made within 24 hours of first payment.
  2. VPS services are non-refundable.
  3. No refunds for dedicated IPs, domains, setup fees, add-ons, or abuse-related suspension.
  4. Refunds are issued to the original payment method only.

10. Resource Usage & Fair Use

  1. Excessive resource usage may result in throttling or suspension.
  2. Infinite loops or abuse processes are prohibited.
  3. Public file-sharing platforms are not allowed without approval.
  4. Crypto mining is prohibited unless explicitly permitted.

11. Prohibited Activities

  1. Strictly prohibited: malware, phishing, hacking tools, botnets, DDoS services, spam, copyright infringement, terrorism content, fraud, blackhat SEO.
  2. Violations may result in termination and reporting.

12. Abuse Complaints

  1. Abuse reports must be addressed within 24 hours.
  2. Failure to respond may result in suspension.
  3. Repeat violations may lead to termination.

13. Staff Harassment Policy

  1. Harassment or abuse toward spinexcloud staff will result in immediate termination without refund.
  2. Zero tolerance policy applies.

14. Data & Backups

  1. You are responsible for maintaining backups.
  2. We do not guarantee data restoration.
  3. We are not liable for data loss.

15. Service-Level Agreement

  1. Paid plans target 99.5% uptime.
  2. Credits must be requested within 7 days.
  3. Credits apply only to future invoices.
  4. Free plans are excluded.
  5. Exclusions include maintenance, third-party issues, misconfiguration, force majeure, and abuse.

16. Dedicated IP Policy

  1. IP addresses remain our property.
  2. Misuse may result in revocation without refund.
  3. You are responsible for IP reputation.

17. Affiliate Program

  1. Self-referrals and fraud are prohibited.
  2. Commission may be reversed on refunds.
  3. We may terminate accounts anytime.

18. Reseller Policy

  1. VPS reselling requires approval.
  2. Unauthorized reselling may result in termination.

19. Intellectual Property

  1. All spinexcloud branding and systems remain our property.
  2. Unauthorized reproduction is prohibited.

20. Limitation of Liability

  1. We are not liable for indirect damages.
  2. Liability is limited to the last 30 days' payment.
  3. We are not responsible for third-party failures.

21. Indemnification

  1. You agree to indemnify and hold spinexcloud harmless from claims and damages.

22. Force Majeure

  1. We are not liable for events beyond our control such as disasters, war, outages, or government actions.

23. Suspension & Termination

  1. We may suspend or terminate services for violations, non-payment, fraud, or legal requirements.
  2. No refunds for terminated accounts.

24. Severability

  1. If any provision is invalid, the rest remain enforceable.

25. Entire Agreement

  1. These Terms form the complete agreement between you and spinexcloud.
